Terms of Service

These Terms of Service ("Terms") govern your use of the Kismet application, website at gokismet.app, and related services (collectively, the "Service") provided by ADG Systems, Inc. ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 13 years old (or 16 in the EEA) to use the Service. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Account Registration

You must sign in using Google or Apple OAuth. You are responsible for maintaining the security of your account and for all activity that occurs under it. You agree to provide accurate information and to keep your profile up to date. You may not create accounts for the purpose of impersonating another person.

3. Use of the Service

3.1 Permitted Use

The Service is designed to help you discover when friends are traveling to the same destinations at the same time. You may use it for personal, non-commercial purposes in accordance with these Terms.

3.2 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Harass, stalk, threaten, or intimidate other users.
  • Scrape, crawl, or use automated means to access the Service without our written permission.
  • Attempt to gain unauthorized access to other users' accounts or our systems.
  • Upload or transmit malicious code, spam, or other harmful content.
  • Create fake accounts, impersonate others, or misrepresent your identity.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to track or monitor another person without their knowledge and consent.
  • Reverse-engineer, decompile, or disassemble any part of the Service.

4. User Content

4.1 Your Content

You retain ownership of content you create on the Service, including trip details, profile information, and feedback. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to operate the Service (for example, showing your trip details to matched friends based on your sharing preferences).

4.2 Sharing and Visibility

You control who can see your trips through the Service's sharing settings (Private, Friends-only, or Public). Content you share publicly may be visible to any Kismet user. You are responsible for choosing appropriate sharing levels for your content.

4.3 Feedback

Any feedback, suggestions, or ideas you submit through the in-app feedback feature may be used by us without restriction or compensation to improve the Service.

5. Gmail, Calendar, and Contact Access

Certain features require access to your Gmail inbox (for trip detection), your device or Google Calendar (for trip detection), or contacts (for friend discovery). These permissions are optional and can be revoked at any time through your Google account settings, device settings, or the Kismet app settings. Revoking access may limit the Service's functionality but will not affect your account.

6. Intellectual Property

The Service, including its design, code, logos, and branding, is owned by ADG Systems, Inc. and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission. "Kismet" and associated marks are trademarks of ADG Systems, Inc..

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

8. Account Suspension and Termination

8.1 By You

You may delete your account at any time from the Settings screen in the app or by contacting support@gokismet.app. Account deletion will remove your personal data within 30 days as described in our Privacy Policy.

8.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, or if we reasonably believe your use poses a risk to other users or the Service. Where possible, we will provide notice before taking action, but we reserve the right to act immediately if necessary.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that:

  • The Service will be uninterrupted, error-free, or secure.
  • Trip detection from emails or calendars will be accurate or complete.
  • Matches or notifications will be delivered in real time.
  • Location or distance information will be precise.

We are not responsible for the actions of other users, including any interactions that result from travel matches.

10. Limitation of Liability

To the maximum extent permitted by law, ADG Systems, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless ADG Systems, Inc. and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@gokismet.app and attempt to resolve the matter informally for at least 30 days.

12.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.3 Arbitration

Any dispute that cannot be resolved informally shall be settled by binding arbitration under the rules of the American Arbitration Association. Arbitration shall take place in Wilmington, Delaware. You agree to waive your right to a jury trial and to participate in class actions.

12.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

13. Modifications to the Service and Terms

We may modify the Service or these Terms at any time. Material changes will be communicated through the app or by email at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance of the updated Terms. If you disagree with changes, you may delete your account.

14. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ADG Systems, Inc. regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign your rights under these Terms. We may assign ours without restriction.
